1. Introduction

Welcome to Egy Rice Company ("the Company", "we", "us", "our"). These Terms and Conditions ("Terms") govern the relationship between Egy Rice Company and its customers and users of its website https://egyrice.com/ ("the Website"), whether they are individuals or commercial enterprises, local or international. By using the Website or purchasing any of our products, you acknowledge that you have read, understood, and agreed to be bound by these Terms without reservation.

2. Definitions

  • "The Company": Refers to Egy Rice Company, located in Damietta – Az Zarqa – Galal Village, Arab Republic of Egypt.

  • "The Customer": Refers to any natural or legal person who purchases or orders the Company's products or uses its Website.

  • "The Products": Refers to Egyptian white rice (both short-grain and long-grain) and any other products offered by the Company.

  • "The Website": Refers to the official website of the Company: https://egyrice.com/.

  • "The Order": Refers to any purchase request submitted via the Website or through direct contact with the Company.

3. Acceptance of Terms

By using the Website or submitting any purchase order, you expressly agree to comply with these Terms and all related policies (including the Return Policy and Privacy Policy). If you do not agree to any provision of these Terms, you must immediately cease using the Website and stop purchasing from the Company.

4. Eligibility for Use and Purchase

  • Users must be of legal age (21 years old in the Arab Republic of Egypt) or acting under the supervision of a parent or legal guardian.

  • For wholesale and export customers, the entity must be commercially registered and possess the necessary licenses to conduct business.

  • The Company reserves the right to refuse any order or terminate dealings with any customer for legitimate commercial reasons.

5. Products and Specifications

  • The Company produces Egyptian white rice in both short-grain and long-grain varieties, in accordance with approved Egyptian and international standards.

  • All products are subject to strict quality control standards and thorough inspection before packaging and shipping.

  • Product images shown on the Website are for illustrative purposes only; actual packaging may vary slightly.

  • The Company reserves the right to modify product specifications or withdraw them from the market without prior notice, while remaining committed to fulfilling previously confirmed orders.

6. Prices and Payments

  • All prices displayed on the Website are in Egyptian Pounds (EGP) unless stated otherwise, and include Value Added Tax (VAT) where applicable.

  • Export prices are determined in US Dollars (USD) or Euros (EUR) according to the contract concluded with each international customer.

  • The Company reserves the right to adjust prices at any time without prior notice, provided that this does not affect orders confirmed prior to the adjustment.

  • Available Payment Methods: Bank transfer, Cash on Delivery (for local orders only), Letter of Credit (L/C) for export customers, or any other method agreed upon in writing.

  • An order is considered confirmed only after the Company receives the advance payment or proof of payment as per the agreement.

7. Orders and Purchase Confirmation

  1. Orders are submitted via the Website or by contacting the Company directly.

  2. The Company will review the order and send an official confirmation including quantities, prices, and the estimated delivery date.

  3. The order becomes effective and binding on both parties upon written confirmation from the Company.

  4. The customer has the right to cancel the order before packaging begins at no cost. After packaging has commenced, cancellation fees may apply as specified in the contract.

8. Delivery and Shipping

A) Local Orders

  • Deliveries within the Arab Republic of Egypt are carried out via shipping companies approved by the Company.

  • Delivery times vary from 3 to 7 business days depending on the customer's location and order size.

  • The customer bears the shipping fees unless agreed otherwise.

  • The customer has the right to inspect the product upon delivery and report any visible damage immediately.

B) Export Orders

  • Export orders are subject to the Incoterms 2020 rules agreed upon in the contract (FOB, CIF, CFR, EXW, or equivalent).

  • The Company commits to preparing the shipment within the timeframe agreed upon in the commercial contract.

  • All export documentation (Bill of Lading, Certificate of Origin, Phytosanitary Certificate, Quality Certificate) will be issued in accordance with the requirements of the destination country.

  • The Company shall not be held liable for any delays resulting from force majeure or customs procedures in the importer's country.

9. Return and Exchange Policy

All return and exchange processes are subject to the "Return Policy" published separately on the Website, which is considered an integral part of these Terms and Conditions.

10. Quality Assurance and Food Safety

  • The Company guarantees that all its products comply with Egyptian and international food safety standards.

  • Products undergo periodic testing in accredited laboratories to ensure purity and quality.

  • Production and expiration dates, as well as batch numbers, are clearly displayed on each package.

  • The customer must store the product in a cool, dry place away from moisture, direct sunlight, and insects.

11. Intellectual Property Rights

All content on the Website, including (but not limited to) logos, trade names, images, texts, designs, and catalogs, is the exclusive property of Egy Rice Company and is protected by Egyptian and international intellectual property laws. Copying, using, or redistributing any content in any form without prior written permission from the Company is strictly prohibited.

12. Limitation of Liability

  • The Company assumes no liability for indirect or consequential damages resulting from using the product contrary to instructions.

  • In all events, the Company's liability is strictly limited to the value of the sold product only.

  • The Company shall not be held liable for any delay or failure to fulfill its obligations due to force majeure (natural disasters, wars, epidemics, strikes, government decisions).

13. Data Privacy

The Company is committed to protecting its customers' data in accordance with the data protection laws of the Arab Republic of Egypt. Customer data will not be shared with any third party without explicit permission, except as required to fulfill the order (e.g., shipping companies, banks, competent government authorities). 15. Dispute Resolution and Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.

  • In the event of any dispute, both parties shall first attempt to settle it amicably within 30 days.

  • If an amicable solution cannot be reached, the dispute shall be referred to the competent courts in the Damietta Governorate.

  • For international export contracts, recourse may be made to international commercial arbitration as specified in the commercial contract signed between both parties.

16. Amendment of Terms and Conditions

Egy Rice Company reserves the right to amend these Terms and Conditions at any time without prior notice. Amendments take effect from the date they are published on the Website, and the customer's continued use of the Website or ordering of products after such updates constitutes implicit acceptance. Customers are advised to review this page periodically for updates.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid for any reason, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect. The invalid provision shall be replaced by a legally valid provision that achieves the same purpose as closely as possible.

18. Official Language

The Arabic version of these Terms is the official and legally binding reference. Any translations of these Terms into other languages are provided for informational purposes only, and the Arabic version shall prevail in the event of any conflict or discrepancy in interpretation.

By accepting these terms, you acknowledge that you have read them carefully, understood them, and agree to be fully bound by them.
